Allwyn announces closing of the offering of its Senior Secured Notes

28 April 2023

Allwyn International a.s. (the “Company”) today announced that Allwyn Entertainment Financing (UK) plc has closed the offering (the “Offering”) of €665 million in aggregate principal amount of 7¼% senior secured notes due 2030 at an issue price of 100.0% (the “Euro Notes”) and $700 million in aggregate principal amount of 7⅞% senior secured notes due 2029 at an issue price of 100.0% (the “Dollar Notes” and, together with the Euro Notes, the “Notes”).

The proceeds from the Offering will be used to redeem in full the €300 million in aggregate principal amount outstanding under the 4.125% senior secured notes due 2024 issued by the Company, to repay the preferred shares issued by Allwyn AG, the parent company of the Company, to repay drawings of €180 million in aggregate principal amount under the revolving credit facility of the Company and certain of its subsidiaries, to pay costs, fees and expenses incurred in connection with the Offering, and for general corporate purposes.

Kenneth Morton, Chief Financial Officer of the Company, commented: “I am very pleased by the strong level of interest this transaction generated, with the orderbook being multiple times oversubscribed on both sides of the Atlantic. This transaction has been another important milestone in our funding strategy. By accessing the US market for the first time, we have further diversified our debt structure. Furthermore, this financing will significantly extend our maturity profile and allow us to further simplify our corporate structure. Following our successful closing of the €1.6 bn senior bank financing last year and two accordion facilities at the beginning of this year, this bond issuance is a further testament to the strength of the Allwyn credit – as demonstrated by our continued strong financial performance – and our consistent delivery on our organic and inorganic growth strategies.”
